About the terms and conditions

1 - General

This license constitutes the entire agreement between the parties with respect to the use of the software, web site and related documentation, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.

These terms describe certain legal rights. You may have other rights under the laws of your country. These terms do not change your rights under the laws of your country if the laws of your country do not permit it to do so.

2 - Validity

These terms and conditions are valid for all offers, services and products. DirectSynth will only recognize terms and conditions differing from its own terms and conditios if these are submitted in writing and agreed upon by DirectSynth.

All warranties under these terms and conditions apply provided that the customer is an end user and not a reseller of these products.

3 - Rules for users under the age of 18

Please check with your parent or guardian before you use the site, post any information or purchase anything from the site.

Web site terms of use

1 - Agreement

By using the site, you agree to be bound by these terms. If you do not agree to these terms, do not use the site. DirectSynth may change these terms from time to time, at its sole discretion. Please periodically visit this section of the site to review the current version of these terms.

2 - Disclaimer of Warranty and liability

The site is provided free of charge, and accordingly is provided "AS IS" and with all faults. Use the site at your own risk. DirectSynth makes no representations or warranties of any kind, either express or implied, with regard to the site.

Except for liability that cannot lawfully be excluded or restricted, DirectSynth will not be liable for any damages, including lost profits, data loss, business damage, damages that are not reasonably foreseeable, or any other loss or damages including consequential, special, indirect or incidental damages.

3 - Web site content

The web site content is copyrighted © 2010 DirectSynth. Any part of the site (including graphics and text) must not be copied or imitated (partially or totally). Also, you may not copy or distribute any content from this site.

Any unauthorized use of the content may violate copyrights laws. As long as you comply with these terms, DirectSynth grants you a non-exclusive, non transferable, limited right to access and make reasonable use of this site and its content. You agree not to interrupt or attempt to interrupt the operation of this site. DirectSynth may add, change or remove any content posted on this site, including features and specifications of products described on the site, at any time, without notice and without liability.

4 - User contributions and conduct

If you send, post or provide any materials to DirectSynth (comments, ideas, data), such materials will be treated as non-confidential and non-proprietary. By posting such materials, you represent to DirectSynth and the other users of this site that you own the materials. You retain ownership of the materials you post, but you grant to DirectSynth a perpetual, worldwide, royalty-free, irrevocable, non-exclusive license (with rights to sublicense) to use and commercialize any ideas, concepts, know-how or techniques contained in such materials in any way and for any purpose whatsoever. DirectSynth shall have no obligation of any kind with respect to such materials and will be free to copy, use, modify, display and distribute the materials to others, without limitation.

You may not post any materials that contain a virus, or that are illegal or violates anyone's copyright. DirectSynth may from time to time monitor or review bulletin boards, postings and other areas of the site. DirectSynth is under no obligation to do so and assumes no liability or responsibility arising from the contents of any such postings or for any defamation, inaccuracy, libel, obscenity, or profanity contained in any such posting. DirectSynth may edit or remove any user material that violates DirectSynth's policies in any way. DirectSynth will fully cooperate with any law enforcement authorities to disclose the identity of anyone posting such materials.

5 - User account and order

The customer warrants that all fundamental data submitted during the order process reflects the true facts, and that these data are sufficient to fulfill the order.

The customer is solely responsible to update his account information with respect to correct and complete data. All data stored with the customer in conjunction with his account (passwords and login information) at DirectSynth is to be stored so that no third party can access this information.

The customer bears responsibility for all charges of services rendered through the use of his login and password. This responsibility is not applicable in cases where the customer can prove that he did not provide password and login information deliberately nor with negligence.

An order placed by a customer is an offer directed to DirectSynth in accordance and acceptance of these terms and conditions. All orders placed by the customer are subject to ultimate acceptance by DirectSynth. Before the order is accepted, an automatic confirmation (webpage or email) for the order is generated. Before this confirmation is generated for the customer, the customer has the opportunity to review the entries made during the order process. These entries may be changed or corrected by the customer during this review opportunity. The generation of an order confirmation does not confirm acceptance of the order by DirectSynth.

The acceptance of the order will be effective and the contract between the customer and DirectSynth will materialize when payment of the total price of the products in review is credited to the account of DirectSynth, or alternatively the credit card of the customer could successfully be authorized.

No refund will be done for compatibility issues, download the demo versions first to test it on your setup.

6 - Prices and payment by credit card

If not stated differently, all prices displayed on the DirectSynth websites are to be understood in the respective currency. Prices may vary with currency fluctuations; DirectSynth may also conduct price adjustments from time to time. All typing errors and miscellaneous errors may result in alterations of price. The customer agrees to the price displayed at the time of purchase.

Payments have to be made by way of the payments offered on the website, any payment methods not mentioned may only be used if expressly agreed to by DirectSynth in advance.

During the order process the customer will have to pay by credit card. Then he will have to enter the following information during the order process, cardholder name, card number, expiration date, CVV2 or CVC and declares here and now that he is in agreement with DirectSynth to charge the credit card with the respective credit card company, in particular online.

DirectSynth will protect the credit card information from unauthorized access by third parties to the greatest reasonable extent. The customer however is aware of the fact, that during transmission of this data, electronically or in other ways, there is still a risk of unauthorized knowledge of this information.

The charging of the credit card will typically be conducted during the order process in form of an online charge.

Software license

1 - License

By purchasing a product you are granted the right to use it in your own productions. The software and related documentation are licensed to you by DirectSynth. This license allows you to use the software on a single computer. You may use the software on a home or portable computer, provided the software is never used on both computers at the same time.

Storage/Network use. You may also store or install a copy of the software on a storage device, such as a network server, used only to install or run the DirectSynth software on your other computers over an internal network ; however, you must acquire and dedicate a distinct license for each user of the DirectSynth software from the storage device. Any given license for the DirectSynth software may not be shared or used concurrently or otherwise on different computers or by different users.

2 - Restrictions

The software contains copyrighted material. In order to protect them you may not decompile, reverse engineer, disassemble or otherwise reduce the software to a human-perceivable form. You may not modify, rent, lease, loan, distribute or create derivative works based upon the software in whole or in part.

The customer has the right to duplicate the software for backup purposes. Every other duplication temporarily or permanently in whole or in part on any medium is not admitted.

3 - Termination

This license is effective until terminated. You may terminate this license at any time by destroying the software and its related documentation. This license will terminate immediately without notice from DirectSynth if you fail to comply with any provision of this license. Upon termination you must destroy the software and its related documentation.

4 - Disclaimer of warranty

You expressly acknowledge and agree that use of the software is at your sole risk. The software and related documentation are provided "AS IS" and without warranty of any kind. DirectSynth does not warrant that the functions contained in the software will meet your requirements, or that the operation of the software will be uninterrupted or error-free, or that defects in the software will be corrected. Furthermore, DirectSynth does not warrant or male any representations regarding the use or the results of the use of the software or relative documentation in terms of correctness, accuracy, reliability, or otherwise.

DirectSynth disclaims any and all express or implied warranties of any kind, and you expressly assume all liabilities and risks, for use or operation of the software, including without limitation.

5 - Limitation of liability

Under no circumstances including negligence, shall DirectSynth be liable for any incidental, special or consequential damages that result from the use or inability to use the software or related documentation, even if DirectSynth has been advised of the possibility of such damages.

DirectSynth will not be liable for any compatibility issues, download the demo versions first to test it on your setup.
